Procura speciale e firma a distanza nel rogito

Strumenti per acquirenti residenti all’estero impossibilitati a presenziare all’atto notarile

Non sempre l’acquirente di un immobile di pregio può recarsi personalmente in Italia per la firma del rogito. Il diritto italiano offre soluzioni consolidate: la procura speciale (art. 1392 c.c.) conferita davanti a un notaio nel Paese di residenza — con apostille ex Convenzione dell’Aja 1961 — e il più recente atto pubblico informatico con firma digitale a distanza (art. 47-bis L. 89/1913). Ciascuno strumento ha caratteristiche, vantaggi e procedure specifiche che richiedono pianificazione anticipata.

La procura speciale nel diritto italiano

La procura speciale è l’atto con cui il mandante conferisce a un rappresentante il potere di compiere determinati atti giuridici in suo nome. Per la compravendita di un immobile, la procura deve essere in forma scritta (art. 1392 c.c.) e, quando il contratto definitivo richiede la forma dell’atto pubblico, la procura deve avere la stessa forma. Il procuratore firma l’atto di compravendita in nome e per conto del mandante, che diventa proprietario con effetto retroattivo alla data del rogito.

La procura si estingue: per revoca del mandante; per morte o interdizione; per scadenza del termine; per compimento dell’atto. Il notaio rogante verifica che la procura sia vigente al momento del rogito e che i poteri siano sufficientemente ampi da coprire tutte le dichiarazioni necessarie nell’atto (dichiarazioni urbanistiche, catastali, AML, APE) senza dover tornare dal mandante per integrazioni.

La procura con apostille deve essere tradotta in italiano da un traduttore giurato o dall’interprete autorizzato dal notaio rogante. La traduzione è allegata all’atto notarile. Lo Studio pianifica l’acquisizione della procura con almeno 2-3 settimane di anticipo rispetto alla data del rogito.

Il notaio rogante che riceve l’atto in base a procura ha l’obbligo di verificare la regolarità formale della procura, i poteri conferiti e la vigenza al momento del rogito. In caso di vizi non rilevati, risponde civilmente nei confronti del mandante.

Procura consolare: alternativa pratica

I cittadini italiani residenti all’estero e, in alcuni casi, i cittadini stranieri possono conferire la procura davanti al Console italiano nella città di residenza. La procura consolare è un atto pubblico italiano, non richiede apostille né traduzione giurata, ed è direttamente utilizzabile davanti al notaio rogante in Italia. I tempi variano da Consolato a Consolato: nelle sedi con alto volume (Londra, New York, Ginevra, Zurigo, Monaco) possono essere necessarie settimane per un appuntamento. Pianificare con ampio anticipo.

Atto pubblico informatico ex art. 47-bis L. 89/1913

L’art. 47-bis L. 89/1913, introdotto dal D.L. 76/2020, ha reso possibile la ricezione di atti notarili mediante videoconferenza e firma elettronica qualificata. Il notaio e la parte si collegano da remoto; la parte firma con una FEQ (firma elettronica qualificata) riconosciuta nell’UE; il notaio certifica l’identità e il consenso. L’atto pubblico informatico ha la stessa efficacia di quello tradizionale. La sua applicazione pratica nelle compravendite con parti estere richiede la compatibilità dei sistemi di firma del Paese d’origine con il Reg. eIDAS; per acquirenti residenti in Svizzera o Regno Unito, la procura con apostille rimane attualmente lo strumento più diffuso e privo di rischi applicativi.

  • Inviare la bozza della procura allo Studio con almeno 3 settimane di anticipo

Power of Attorney and Remote Signing for Luxury Property Transactions

Tools for buyers residing abroad who cannot attend the notarial deed in person

Not every buyer of a prestigious property can travel to Italy for the signing of the deed of sale. Italian law offers two consolidated solutions: the special power of attorney (art. 1392 c.c.) granted before a notary in the country of residence — apostilled under the Hague Convention or legalised at the Italian consulate — and the digital public deed signed remotely (art. 47-bis L. 89/1913). Each has different practical requirements, timing implications and legal certainty profiles.

Special power of attorney — the standard solution

The most widely used solution for international buyers: the buyer grants a special power of attorney before a notary in their country of residence, specifying the property, the purchase price, the conditions and the identity of the attorney in fact (procuratore) who will sign on their behalf. The power of attorney is then apostilled (for countries party to the Hague Convention of 5 October 1961) or legalised at the Italian consulate (for non-Hague Convention countries). A certified Italian translation is always required. The Italian notary verifies the formal requirements of the foreign power of attorney and receives the deed of sale with the procuratore signing on behalf of the absent buyer. Allow at least 3-4 weeks for apostille and translation in most European countries; 4-6 weeks for other regions.

Notarial power of attorney at the Italian consulate

For buyers who cannot easily access a local notary but have access to an Italian consulate, the Italian consulate in their country of residence can receive the power of attorney under Italian law (art. 17 L. 89/1913), acting with the same powers as an Italian notary. The result is an Italian public deed that does not require apostille or translation. Processing times vary by consulate — typically 2-6 weeks — and an appointment must be booked in advance.

Digital public deed with remote electronic signature

Introduced by art. 47-bis L. 89/1913, this instrument allows a buyer to sign the deed of sale remotely in real time using a qualified electronic signature, in a videoconference session presided over by the Italian notary and a notary assisting in the buyer’s country of residence. Both notaries must be physically present during the session. The electronic deed has the same legal force as a traditional notarial deed. This solution avoids the delays of physical document exchange and is increasingly used for cross-border luxury transactions.

Procuration Spéciale et Signature à Distance pour Transactions de Prestige

Solutions pour les acquéreurs résidant à l’étranger ne pouvant assister personnellement à l’acte

Tout acquéreur d’un bien de prestige ne peut pas toujours se déplacer en Italie pour la signature. Le droit italien offre deux solutions : la procuration spéciale et l’acte public numérique à signature à distance.

Procuration spéciale — la solution standard

La solution la plus utilisée : l’acquéreur confère une procuration spéciale devant un notaire dans son pays, spécifiant le bien, le prix, les conditions et l’identité du mandataire. La procuration est apostillée (États parties à la Convention de La Haye du 5 octobre 1961) ou légalisée au consulat italien. Une traduction certifiée en italien est toujours requise. Délai habituel : 3 à 4 semaines en Europe ; 4 à 6 semaines ailleurs.

Procuration notariale au consulat italien

Pour les acquéreurs n’ayant pas accès à un notaire local, le consulat italien peut recevoir la procuration en droit italien (art. 17 L. 89/1913). Le résultat est un acte public italien ne nécessitant ni apostille ni traduction. Les délais varient selon les consulats — généralement 2 à 6 semaines.

Acte public numérique à signature à distance

Introduit par l’art. 47-bis L. 89/1913, cet instrument permet à l’acquéreur de signer l’acte à distance en temps réel via une signature électronique qualifiée, lors d’une session de visioconférence présidée simultanément par le notaire italien et un notaire assistant dans le pays de l’acquéreur. L’acte électronique a la même force juridique qu’un acte notarié traditionnel.

Lösungen für im Ausland wohnhafte Käufer, die nicht persönlich zur Beurkundung erscheinen können

Nicht jeder Käufer einer Prestigeimmobilie kann für die Unterzeichnung nach Italien reisen. Das italienische Recht bietet zwei bewährte Lösungen: die Sondervollmacht (Art. 1392 c.c.) und die digital unterzeichnete öffentliche Urkunde (Art. 47-bis L. 89/1913).

Sondervollmacht — die Standardlösung

Die am häufigsten genutzte Lösung: Der Käufer erteilt vor einem Notar in seinem Land eine Sondervollmacht, die das Objekt, den Kaufpreis, die Bedingungen und die Identität des Bevollmächtigten (procuratore) genau benennt. Die Vollmacht wird apostilliert (für Haager Konventionsstaaten) oder konsularisch beglaubigt. Eine beglaubigte italienische Übersetzung ist stets erforderlich. Typische Dauer: 3-4 Wochen in den meisten europäischen Ländern; 4-6 Wochen in anderen Regionen.

Vollmacht beim Italienischen Konsulat

Für Käufer ohne einfachen Zugang zu einem lokalen Notar kann das Konsulat die Vollmacht nach italienischem Recht entgegennehmen (Art. 17 L. 89/1913). Das Ergebnis ist eine italienische öffentliche Urkunde ohne Apostille oder Übersetzung. Bearbeitungszeiten variieren — typischerweise 2-6 Wochen.

Digitale öffentliche Urkunde mit Fernunterzeichnung

Eingeführt durch Art. 47-bis L. 89/1913, ermöglicht dieses Instrument dem Käufer, die Urkunde in Echtzeit mit einer qualifizierten elektronischen Signatur zu unterzeichnen — in einer Videokonferenzsitzung unter Leitung des italienischen Notars und eines Assistenznotars im Käuferland. Soluciones para compradores residentes en el extranjero que no pueden asistir a la escritura

No todo comprador de un inmueble de prestigio puede desplazarse a Italia para la firma. El derecho italiano ofrece dos soluciones consolidadas: el poder especial notarial (art. 1392 c.c.) y la escritura pública digital firmada a distancia (art. 47-bis L. 89/1913).

Poder especial notarial — la solución estándar

La solución más utilizada: el comprador otorga un poder especial ante un notario en su país, especificando el inmueble, el precio, las condiciones y la identidad del apoderado (procuratore). Escritura pública digital con firma electrónica a distancia
