Strutture di intestazione per pianificazione patrimoniale, riservatezza e tutela del patrimonio
L’acquisto di un immobile di pregio non avviene necessariamente in nome proprio. Acquirenti internazionali, famiglie con patrimoni articolati, investitori con esigenze di pianificazione successoria scelgono frequentemente di intestare l’immobile a una struttura giuridica — SRL immobiliare, holding estera, trust, società fiduciaria. Le motivazioni sono molteplici: riservatezza sull’identità del proprietario finale, ottimizzazione fiscale nel Paese di residenza, pianificazione della successione, segregazione patrimoniale. Ciascuna struttura ha caratteristiche, costi e limiti specifici; la scelta richiede un’analisi personalizzata condotta con i consulenti fiscali del cliente.
Perché strutturare l’acquisto: le motivazioni principali
La riservatezza sull’identità del proprietario finale è la prima motivazione citata dagli acquirenti stranieri; la pianificazione fiscale è la seconda; la pianificazione successoria — evitare una successione internazionale complicata su un immobile italiano — è la terza. Va premesso che l’intestazione a struttura giuridica non elimina gli obblighi fiscali italiani sulla detenzione (IMU, imposte sui redditi da locazione) né quelli sul futuro trasferimento. Ogni ottimizzazione deve essere pianificata per evitare i rischi di abuso del diritto ex art. 10-bis L. 212/2000.
Acquisto tramite SRL immobiliare
La SRL immobiliare italiana è la struttura più semplice e più diffusa per la detenzione di immobili di pregio. I vantaggi principali: separazione tra patrimonio personale dei soci e patrimonio della società (art. 2462 c.c.); possibilità di trasferire la partecipazione societaria invece dell’immobile, con risparmio di imposta (trasferimento di quote soggetto a imposta di registro proporzionale € 200 anziché registro del 9% sulle compravendite immobiliari); pianificazione successoria tramite donazione o vendita delle quote.
Trust e Convenzione dell’Aja 1985
Il trust è uno strumento di diritto anglosassone riconosciuto in Italia tramite la ratifica della Convenzione dell’Aja del 1° luglio 1985 (L. 364/1989). Con il trust, il disponente trasferisce la proprietà di beni — inclusi immobili — al trustee, che li gestisce nell’interesse del beneficiario secondo le istruzioni del deed of trust. La scelta della legge applicabile al trust è critica: le parti possono scegliere la legge inglese, del Jersey, di San Marino o di Malta. Il notaio verifica che la legge scelta sia ammessa dalla Convenzione dell’Aja e non contraria all’ordine pubblico italiano.

Società fiduciaria: intestazione e mandato fiduciario
La società fiduciaria (L. 1966/1939) è un soggetto che detiene beni per conto di un mandante sulla base di un mandato fiduciario. L’immobile risulta intestato alla fiduciaria nei registri pubblici; l’identità del fiduciante non appare negli atti. La fiducia è uno strumento di riservatezza pubblica, non di ottimizzazione fiscale: i redditi dell’immobile sono imputati al fiduciante, che li dichiara nella propria dichiarazione. Il mandato fiduciario è revocabile in qualsiasi momento — differenza fondamentale rispetto al trust, dove i beni escono dal patrimonio del disponente.
Beneficiario effettivo e obblighi di trasparenza
Indipendentemente dalla struttura prescelta, il notaio è tenuto a identificare il titolare effettivo: la persona fisica che in ultima analisi possiede o controlla il soggetto giuridico acquirente. L’obbligo ex artt. 20-25 D.Lgs. 231/2007 è inderogabile e si applica a SRL, trust, fondazioni e fiduciarie. La struttura deve essere trasparente nei confronti del notaio e delle Autorità, ma può rimanere riservata nei confronti del pubblico.
Limiti e abuso del diritto
Ogni struttura di acquisto deve superare il test dell’art. 10-bis L. 212/2000 (Statuto del contribuente): una struttura è abusiva quando è priva di sostanza economica, persegue un vantaggio fiscale indebito e non è giustificata da valide ragioni extrafiscali. La costituzione di una SRL, l’istituzione di un trust o l’intestazione fiduciaria sono legittime quando rispondono a obiettivi genuini di pianificazione patrimoniale, riservatezza o tutela successoria. Il confine richiede un’analisi preventiva attenta, condotta con i consulenti fiscali italiani e del Paese di residenza del cliente.

Purchase Through a Company, Trust or Fiduciary
Legal holding structures for estate planning, confidentiality and asset protection
The purchase of a prestigious property does not necessarily take place in the buyer’s personal name. International buyers, families with complex patrimonial structures and investors with succession planning needs frequently choose to vest title in a legal entity — a real estate S.r.l., a foreign holding company, a trust or an Italian registered fiduciary company (società fiduciaria). The motivations vary: confidentiality, asset protection, income tax planning, succession planning, or the practical management of fractional ownership.
Italian real estate S.r.l. or S.p.A.
The most common corporate structure: formed by public deed before the notary with a minimum share capital of €10,000 for an S.r.l.; income from renting the property is subject to IRES at 24% and IRAP rather than progressive IRPEF; the property can be transferred to heirs by assignment of company quotas rather than by real property deed (potentially avoiding registration tax on the underlying property value); beneficial owner disclosure to the Italian beneficial owner register is mandatory under D.Lgs. 231/2007. The company must maintain annual statutory accounts.
Foreign holding company
A foreign holding company — Luxembourg, Netherlands, Malta, BVI etc. — may be used for larger portfolio structures or where specific tax treaty benefits are sought. The main risk: if the company is effectively managed from Italy, it may be treated as an Italian tax resident (art. 73 TUIR), losing all foreign tax benefits. The choice of structure must be made before purchase; restructuring after purchase involves significant immediate tax costs.
Trust
The trust is recognised in Italy through adherence to the Hague Convention (L. 364/1989). The trustee holds legal title; the beneficiaries have equitable interests. Advantages: strong asset protection (trust assets are separate from the trustee’s personal estate), management continuity across generations, succession without probate proceedings in Italy. A trust deed is typically executed before a foreign notary; the Italian notary handles the land registry registration.
Italian registered fiduciary company
Italian fiduciary companies (L. 1966/1939) hold assets in their own name but for the account of the principal (fiduciante), shielding the principal’s identity from public registers. The structure is simpler and less expensive than a trust. However, under AML regulations, the identity of the beneficial owner must be disclosed to the AML-regulated notary and to the Italian beneficial owner register — it is not publicly accessible.

S.r.l. ou S.p.A. immobilière italienne
La structure la plus courante : constituée par acte notarié avec un capital minimum de 10.000€ ; les revenus locatifs sont soumis à l’IRES (24%) et à l’IRAP ; la propriété peut être transmise par cession de parts, évitant potentiellement les droits de mutation sur la valeur du bien ; la divulgation du bénéficiaire effectif est obligatoire selon le D.Lgs. 231/2007. La société doit tenir des comptes annuels.
Holding étrangère
Une holding étrangère (Luxembourg, Pays-Bas, Malte, BVI etc.) peut être utilisée pour des portefeuilles plus importants. Risque principal : si la société est effectivement gérée depuis l’Italie, elle peut être requalifiée en résidente fiscale italienne (art. 73 TUIR). La structure doit être choisie avant l’achat.
Trust
Reconnu en Italie via la Convention de La Haye (L. 364/1989). Le trustee détient le titre légal ; les bénéficiaires ont des droits économiques. Avantages : forte protection des actifs, continuité de gestion intergénérationnelle, succession sans procédure testamentaire.
Société fiduciaire italienne
Les sociétés fiduciaires (L. 1966/1939) détiennent les actifs en leur nom pour le compte du mandant (fiduciante), dont l’identité n’apparaît pas dans les registres publics. Plus simple et moins coûteuse qu’un trust. L’identité du bénéficiaire effectif doit toutefois être communiquée aux autorités AML.

Der Erwerb einer Prestigeimmobilie erfolgt nicht zwingend im persönlichen Namen des Käufers. Internationale Käufer wählen häufig eine rechtliche Einheit: Immobilien-S.r.l., ausländische Holding, Trust oder italienische Treuhandgesellschaft.
Italienische Immobilien-S.r.l. oder S.p.A.
Die häufigste Struktur: Gründung durch notarielle Urkunde mit Mindeststammkapital von 10.000€ für eine S.r.l.; Mieteinnahmen bei IRES (24%) und IRAP; Übertragung durch Anteilsabtretung möglich, die Grunderwerbsteuer auf den Immobilienwert potenziell vermeidend; Offenlegung des wirtschaftlichen Eigentümers nach D.Lgs. 231/2007 erforderlich. Die Gesellschaft muss Jahresabschlüsse erstellen.
Ausländische Holding
Für größere Portfolios oder spezifische Abkommensvorzüge. Hauptrisiko: Effektive Geschäftsführung aus Italien macht die Gesellschaft zum italienischen Steueransässigen (Art. 73 TUIR). Die Struktur muss vor dem Kauf gewählt werden.
Trust
In Italien über das Haager Abkommen (L. 364/1989) anerkannt. Der Trustee hält das Eigentum; die Begünstigten haben wirtschaftliche Rechte. Vorteile: starker Vermögensschutz, Verwaltungskontinuität, Nachfolge ohne Nachlassverfahren.
Italienische Treuhandgesellschaft
Registrierte Gesellschaften (L. 1966/1939) halten Vermögenswerte in eigenem Namen für den Treugeber, dessen Identität nicht in öffentlichen Registern erscheint. Einfacher und kostengünstiger als ein Trust. Der wirtschaftliche Eigentümer muss jedoch den AML-Behörden offengelegt werden.

Иностранный холдинг
Для более крупных портфелей или для использования специфических преимуществ налоговых соглашений. Ключевой риск: фактическое управление из Италии делает компанию итальянским налоговым резидентом (ст. 73 TUIR). Структура должна быть выбрана до покупки.
Траст
Признан в Италии через Гаагскую конвенцию (L. 364/1989). Управляющий (trustee) держит право собственности; бенефициары имеют экономические права. Преимущества: высокая защита активов, непрерывность управления, наследование без нотариального оформления наследства.
Итальянская фидуциарная компания
Зарегистрированные фидуциарные компании (L. 1966/1939) держат активы от своего имени в интересах доверителя (fiduciante), чья личность не фигурирует в публичных реестрах. Проще и дешевле траста. Тем не менее личность бенефициарного владельца должна раскрываться органам AML-контроля.

S.r.l. o S.p.A. inmobiliaria italiana
La estructura más habitual: se constituye por escritura notarial con un capital social mínimo de 10.000€ para la S.r.l.; los ingresos por alquiler tributan al IRES (24%) e IRAP; el inmueble puede transmitirse mediante cesión de participaciones, evitando potencialmente el impuesto de registro sobre el valor del bien; la divulgación del beneficiario efectivo es obligatoria según el D.Lgs. 231/2007. La sociedad debe llevar cuentas anuales.
Holding extranjera
Para carteras más amplias o para aprovechar ventajas específicas de convenios fiscales. Riesgo principal: la gestión efectiva desde Italia convierte a la sociedad en residente fiscal italiana (art. 73 TUIR). La estructura debe elegirse antes de la compra.
Trust
Reconocido en Italia mediante el Convenio de La Haya (L. 364/1989). El trustee ostenta el título legal; los beneficiarios tienen derechos económicos. Ventajas: fuerte protección patrimonial, continuidad de gestión intergeneracional, sucesión sin procedimiento hereditario.
Sociedad fiduciaria italiana
Las sociedades fiduciarias registradas (L. 1966/1939) ostentan los activos en su propio nombre por cuenta del mandante (fiduciante), cuya identidad no figura en los registros públicos. Más sencilla y económica que el trust. No obstante, la identidad del beneficiario efectivo debe comunicarse a las autoridades AML.
