Riservatezza, NDA e tutela della privacy nelle compravendite di pregio
Conciliare discrezione e compliance: beneficiario effettivo, GDPR e protezione della reputazione
Nelle compravendite di immobili di pregio la riservatezza non è un privilegio, ma una necessità operativa: l’acquirente vuole che la sua identità e il prezzo pagato rimangano riservati; il venditore vuole evitare speculazioni sul proprio patrimonio; entrambe le parti vogliono che le informazioni scambiate durante la due diligence non raggiungano terzi. Al tempo stesso, il quadro normativo europeo — GDPR, normativa antiriciclaggio, registro dei titolari effettivi — impone obblighi di trasparenza che il notaio non può derogare. La sfida è costruire un perimetro di riservatezza massima compatibile con la piena compliance.
La riservatezza come valore notarile e il suo limite legale
Il notaio è soggetto a segreto professionale di natura deontologica: non può divulgare le informazioni apprese nell’esercizio delle sue funzioni, salvo autorizzazione delle parti o obbligo di legge. Questo segreto è tutelato dall’art. 622 c.p. (violazione del segreto professionale) e dalle norme deontologiche del Consiglio Nazionale del Notariato. Il segreto professionale notarile ha tuttavia limiti inderogabili: il D.Lgs. 231/2007 prevede che il notaio segnali alla UIF le operazioni sospette, senza possibilità di opporre il segreto professionale. L’art. 42 D.Lgs. 231/2007 prevede l’obbligo di astensione in presenza di rischio elevato.
Nella pratica delle compravendite di pregio, questa tensione si manifesta concretamente: il cliente richiede discrezione totale; il notaio deve identificarlo, verificarne il patrimonio, conservarne i dati e — in determinati casi — segnalarlo. La soluzione non è l’elusione dell’obbligo, ma la sua gestione professionale: i dati vengono raccolti e custoditi con le misure di sicurezza imposte dal GDPR, comunicati solo alle Autorità legittimate e mai a privati.
GDPR e dati personali nella compravendita
Il Reg. UE 2016/679 (GDPR) si applica integralmente al trattamento dei dati personali nelle compravendite immobiliari. Il notaio è titolare del trattamento dei dati delle parti, dei rappresentanti e dei titolari effettivi. Il trattamento è lecito ex art. 6 GDPR in quanto necessario all’esecuzione del contratto o all’adempimento di obblighi legali. Le categorie di dati trattati nelle compravendite di pregio comprendono dati anagrafici, patrimoniali, relativi alla provenienza dei fondi e alla struttura societaria dell’acquirente. Questi dati sono conservati nel fascicolo notarile per il periodo previsto dalla legge (10 anni ex D.Lgs. 231/2007) e sono accessibili solo alle parti, ai loro delegati e alle Autorità autorizzate.
Beneficiario effettivo tra AML e riservatezza
Il D.Lgs. 231/2007 (artt. 20-25) richiede che il notaio identifichi non solo le parti dell’atto ma anche il titolare effettivo: la persona fisica che in ultima analisi possiede o controlla il soggetto giuridico acquirente (partecipazione superiore al 25% o controllo di fatto). Il registro dei titolari effettivi presso le Camere di Commercio è operativo per le imprese. Il notaio è tenuto a identificare il titolare effettivo indipendentemente dall’iscrizione nel registro: l’adeguata verifica è un obbligo autonomo e inderogabile.
La tensione tra riservatezza e identificazione del titolare effettivo è gestita attraverso la segregazione delle informazioni: i dati del titolare effettivo vengono raccolti, conservati in fascicolo riservato e comunicati esclusivamente alle Autorità quando richiesto. Non entrano nel corpo dell’atto notarile (atto pubblico accessibile ex art. 66-bis L. 89/1913), ma in una dichiarazione separata allegata al fascicolo.
NDA e accordi di riservatezza nella fase negoziale
- Durata: l’obbligo di riservatezza deve sopravvivere alla conclusione dell’operazione (di regola 3-5 anni); clausole perpetue per le informazioni più sensibili
- Destinatari: definire con precisione chi, all’interno di ciascuna organizzazione, può ricevere le informazioni riservate; includere avvocati, commercialisti e advisor
- Eccezioni: informazioni già pubbliche; già in possesso del destinatario prima della trattativa; obbligo di disclosure per legge o ordine dell’Autorità
- Sanzioni: risarcimento del danno documentato; inibitoria giudiziale; liquidazione convenzionale del danno (clausola penale)
- Foro e legge applicabile: nelle trattative internazionali specificare la legge italiana e il foro di Verbania o Milano
Holding e strutture fiduciarie per la riservatezza
Una delle motivazioni ricorrenti per l’acquisto tramite struttura giuridica è la riservatezza sull’identità del proprietario finale. L’intestazione fiduciaria ex L. 1966/1939 consente a una società fiduciaria di detenere l’immobile per conto dell’effettivo titolare, il cui nome non appare nei registri pubblici. Questa struttura è lecita se il titolare effettivo è correttamente identificato dal notaio e, ove richiesto, iscritto nel registro dei titolari effettivi. La riservatezza lecita protegge la divulgazione pubblica dell’identità, non la conoscenza da parte delle Autorità di vigilanza.

Reconciling discretion and regulatory compliance: beneficial owner disclosure, GDPR and reputational protection
In prestigious property transactions, confidentiality is an operational necessity: the buyer wants their identity and the price paid to remain private; the seller wants to avoid speculation about their estate; both parties want information exchanged during due diligence not to reach third parties. At the same time, the notary is subject to mandatory AML disclosure obligations that cannot be waived. The challenge is to reconcile the parties’ legitimate confidentiality interests with the notary’s regulatory obligations.
Non-disclosure agreement (NDA)
The NDA between the buyer, the seller and their respective advisors protects the confidentiality of negotiations before any binding commitment is made. For prestigious property transactions it typically covers: the identity of the parties and any related entities; the address and identifying characteristics of the property; the terms and price of the proposed transaction; the results of the due diligence process; and any financial, personal or commercial information exchanged. The NDA should be governed by Italian law (for enforceability before Italian courts) and should specify the duration of confidentiality obligations (typically 2-5 years), the remedies for breach (typically contractual penalties plus injunctive relief) and the specific exclusions (information already in the public domain, mandatory disclosures to regulatory authorities).
GDPR and the processing of personal data
The processing of the parties’ personal data — identification data, tax codes, financial information — in connection with the notarial deed is subject to the EU General Data Protection Regulation (GDPR, Reg. 679/2016) and D.Lgs. 196/2003. The notary acts as data controller for personal data processed in the execution of the public deed and provides the parties with an information notice (informativa, art. 13 GDPR). The notary is subject to a professional secrecy obligation under the Notarial Law and is not permitted to disclose any data obtained in the course of the notarial activity except to the extent required by law.
Beneficial owner disclosure and the limits of confidentiality
D.Lgs. 231/2007 requires the notary to identify and verify the ultimate beneficial owner of any legal entity, trust or fund involved in the transaction, and to record this information in the notary’s own AML register. The beneficial owner information must also be entered in the Italian beneficial owner register (Ministerial Decree of 11 March 2022). Following the judgment of the Court of Justice of the EU of 22 November 2022 (Cases C-37/20 and C-601/20), the Italian beneficial owner register is no longer accessible to the general public but only to competent authorities and persons with a demonstrated legitimate interest. The beneficial owner’s identity does not appear in the land register or any publicly accessible document.
Confidentialité, NDA et Protection de la Vie Privée dans les Transactions de Prestige
Concilier discrétion et conformité réglementaire : bénéficiaire effectif, RGPD et protection de la réputation
Dans les transactions de prestige, la confidentialité est une nécessité opérationnelle. En même temps, le notaire est soumis à des obligations de divulgation AML qui ne peuvent être contournées. L’enjeu est de concilier les intérêts légitimes de confidentialité des parties avec les obligations réglementaires du notaire.
Accord de non-divulgation (NDA)
Le NDA entre l’acquéreur, le vendeur et leurs conseils respectifs protège la confidentialité des négociations avant tout engagement contraignant. Il couvre typiquement : l’identité des parties, les caractéristiques du bien, les termes de la transaction, les résultats de la due diligence et toute information financière ou personnelle échangée. Le NDA doit être régi par le droit italien et spécifier la durée des obligations (2 à 5 ans), les remèdes en cas de violation et les exclusions spécifiques.
RGPD et traitement des données personnelles
Le traitement des données personnelles est soumis au RGPD (Règl. 679/2016) et au D.Lgs. 196/2003. Le notaire est responsable du traitement et fournit l’avis d’information requis (art. 13 RGPD). Le notaire est soumis au secret professionnel et ne peut divulguer aucune donnée obtenue dans l’exercice de ses fonctions, sauf obligation légale.
Divulgation du bénéficiaire effectif
Le D.Lgs. 231/2007 exige l’identification du bénéficiaire effectif de toute entité impliquée. Suite à l’arrêt de la CJUE du 22 novembre 2022, le registre des bénéficiaires effectifs n’est plus accessible au grand public mais seulement aux autorités compétentes et aux personnes justifiant d’un intérêt légitime. L’identité du bénéficiaire effectif n’apparaît pas au registre foncier.

Bei Prestigeimmobilientransaktionen ist Vertraulichkeit eine operative Notwendigkeit. Gleichzeitig unterliegt der Notar zwingenden AML-Offenlegungspflichten. Die Herausforderung liegt darin, die legitimen Vertraulichkeitsinteressen der Parteien mit den regulatorischen Pflichten des Notars in Einklang zu bringen.
Geheimhaltungsvereinbarung (NDA)
Die NDA zwischen Käufer, Verkäufer und ihren Beratern schützt die Vertraulichkeit der Verhandlungen vor jeder bindenden Verpflichtung. Sie umfasst typischerweise: Identität der Parteien, Merkmale des Objekts, Transaktionsbedingungen, Due-Diligence-Ergebnisse und ausgetauschte Finanz- oder Personaldaten. Die NDA sollte italienischem Recht unterliegen und Dauer (2-5 Jahre), Rechtsbehelfe bei Verletzung und spezifische Ausnahmen bestimmen.
DSGVO und Verarbeitung personenbezogener Daten
Die Verarbeitung personenbezogener Daten unterliegt der DSGVO (VO 679/2016) und D.Lgs. 196/2003. Der Notar ist Verantwortlicher und stellt die erforderliche Informationsmitteilung (Art. 13 DSGVO) bereit. Der Notar unterliegt dem Berufsgeheimnis und darf keine im Rahmen der notariellen Tätigkeit erlangten Daten offenbaren, außer soweit gesetzlich vorgeschrieben.
Offenlegung des wirtschaftlichen Eigentümers
D.Lgs. 231/2007 erfordert die Identifizierung des wirtschaftlichen Eigentümers jeder beteiligten Einheit. Nach dem EuGH-Urteil vom 22. November 2022 ist das Transparenzregister nicht mehr öffentlich zugänglich, sondern nur für Behörden und Personen mit berechtigtem Interesse. Die Identität des wirtschaftlichen Eigentümers erscheint nicht im Grundbuch.

В luxury-сделках конфиденциальность — операционная необходимость. При этом нотариус подчиняется обязательным требованиям AML-раскрытия, от которых нельзя отступить. Задача состоит в том, чтобы согласовать законные интересы сторон в конфиденциальности с нормативными обязательствами нотариуса.
Соглашение о неразглашении (NDA)
NDA между покупателем, продавцом и их советниками защищает конфиденциальность переговоров до принятия любых обязывающих обязательств. Как правило, охватывает: личность сторон, характеристики объекта, условия сделки, результаты проверки и любую финансовую или персональную информацию, которой обменивались стороны. NDA следует подчинить итальянскому праву и предусмотреть срок (2-5 лет), средства защиты при нарушении и специфические исключения.
GDPR и обработка персональных данных
Обработка персональных данных сторон подпадает под действие GDPR (Регламент 679/2016) и D.Lgs. 196/2003. Нотариус является контролёром данных и предоставляет необходимое уведомление (ст. 13 GDPR). Нотариус обязан соблюдать профессиональную тайну и не вправе разглашать данные, полученные в ходе нотариальной деятельности, за исключением случаев, предусмотренных законом.
Раскрытие бенефициарного владельца и пределы конфиденциальности
D.Lgs. 231/2007 требует установления конечного бенефициарного владельца любого юридического лица. После решения ЕСПЧ от 22 ноября 2022 г. итальянский реестр бенефициарных владельцев более не доступен широкой публике, а только компетентным органам и лицам с доказанным законным интересом. Личность бенефициарного владельца не фигурирует в реестре недвижимости.

En las transacciones de inmuebles de prestigio, la confidencialidad es una necesidad operativa. Al mismo tiempo, el notario está sujeto a obligaciones de divulgación AML que no pueden eludirse. El reto consiste en conciliar los legítimos intereses de confidencialidad de las partes con las obligaciones regulatorias del notario.
Acuerdo de confidencialidad (NDA)
El NDA entre comprador, vendedor y sus asesores protege la confidencialidad de las negociaciones antes de cualquier compromiso vinculante. Cubre habitualmente: la identidad de las partes, las características del inmueble, los términos de la transacción, los resultados de la due diligence e información financiera o personal intercambiada. Debe someterse al derecho italiano y especificar la duración (2-5 años), los remedios en caso de incumplimiento y las exclusiones específicas.
RGPD y tratamiento de datos personales
El tratamiento de datos personales está sujeto al RGPD (Regl. 679/2016) y al D.Lgs. 196/2003. El notario es responsable del tratamiento y proporciona el aviso informativo requerido (art. 13 RGPD). El notario está sujeto al secreto profesional y no puede divulgar datos obtenidos en el ejercicio de sus funciones salvo obligación legal.
Divulgación del beneficiario efectivo
El D.Lgs. 231/2007 exige la identificación del beneficiario efectivo de cualquier entidad implicada. Tras la sentencia del TJUE de 22 de noviembre de 2022, el registro de titulares reales ya no es accesible al público en general, sino solo a las autoridades competentes y a personas con interés legítimo acreditado. La identidad del beneficiario efectivo no figura en el registro de la propiedad.
