L’escrow notarile avanzato è una struttura di custodia e rilascio condizionato del prezzo calibrata sulle specificità delle operazioni immobiliari di valore elevato con parti internazionali. Si differenzia dal deposito fiduciario ordinario ex L. 147/2013 per la complessità delle condizioni di rilascio, per la possibilità di prevedere milestones multiple — ciascuna associata al rilascio di una tranche del prezzo — e per la gestione di flussi in valuta estera. L’escrow come strumento internazionale e il modello italiano

Il termine escrow — di origine anglosassone — indica un meccanismo di custodia di fondi da parte di un terzo neutrale, che li rilascia al verificarsi di condizioni pattuite. Nell’ordinamento italiano, questa funzione è naturalmente affidata al notaio: soggetto indipendente da entrambe le parti, pubblico ufficiale, sottoposto a responsabilità disciplinare e civile rigorosa. Il notaio italiano può offrire una struttura funzionalmente equivalente all’escrow anglosassone, con il vantaggio aggiunto che gli atti notarili fanno piena prova fino a querela di falso (art. 2700 c.c.) — caratteristica che nessun accordo privato di escrow può offrire.

La base normativa è l’art. 1, cc. 63-67, L. 147/2013, integrato dalle pattuizioni contrattualmente inserite nell’atto notarile. Le condizioni di rilascio sono predeterminate con precisione, rese opponibili a terzi attraverso la natura pubblica dell’atto, e gestite dal notaio con la responsabilità di un depositario professionale.

Struttura a milestones: tranche di prezzo e condizioni progressive

Nelle operazioni immobiliari di alto valore — acquisto di ville lacustri per importi superiori a € 3-5 milioni, compravendite di complessi residenziali, acquisizione di beni vincolati con lavori programmati — il pagamento del prezzo si articola in tranche successive, ciascuna associata al completamento di una milestone contrattualmente definita.

La struttura a milestones richiede una redazione dell’atto particolarmente precisa: ogni milestone deve essere descritta con criteri oggettivi e verificabili, con indicazione del soggetto responsabile della verifica e dei tempi entro cui il notaio deve essere informato del suo avveramento. L’ambiguità nella definizione delle condizioni è la principale fonte di contenzioso nelle operazioni strutturate.

Flussi in valuta estera e operazioni multi-currency

Acquirenti provenienti da Paesi extra-UE effettuano spesso i pagamenti in valuta estera (CHF, GBP, USD, AED). Il conto corrente dedicato del notaio è denominato in euro: il pagamento in valuta estera richiede la preventiva conversione tramite la banca dell’acquirente o un currency broker specializzato. Il rischio di cambio è a carico dell’acquirente, salvo pattuizione contraria. Il Reg. UE 2015/847 (trasferimenti di fondi) richiede che i pagamenti internazionali superiori a € 1.000 siano accompagnati da informazioni complete sul pagatore; una documentazione chiara sull’origine dei fondi è essenziale per evitare ritardi nel rilascio del deposito.

AML e tracciabilità nell’escrow avanzato

L’escrow notarile non è una zona franca dalle norme antiriciclaggio. Al contrario, la concentrazione di importi elevati rende l’adeguata verifica rafforzata ancora più rigorosa. Il D.Lgs. 231/2007, art. 24, prevede misure specifiche per operazioni ad alto rischio: identificazione del titolare effettivo, verifica dell’origine dei fondi, fonte della ricchezza complessiva del cliente. La documentazione da predisporre per l’escrow avanzato include: estratti conto attestanti l’origine dei fondi, dichiarazione sulla fonte della ricchezza (source of wealth declaration), eventuali documentazioni fiscali nei Paesi di residenza.

Nei trasferimenti di importo molto elevato, il notaio ha l’obbligo — non la facoltà — di sospendere l’operazione e segnalare alla UIF quando sussistono elementi di sospetto sulla provenienza dei fondi, indipendentemente dall’identità delle parti.

Responsabilità del notaio depositario

Il notaio che gestisce un escrow avanzato assume responsabilità specifica come depositario professionale. In caso di rilascio non conforme alle condizioni pattuite, risponde civilmente nei confronti della parte danneggiata e disciplinarmente nei confronti del Consiglio Notarile Distrettuale. Le somme depositate sono segregate dal patrimonio personale del notaio e non aggredibili dai suoi creditori (art. 1, co. 65, L. 147/2013) — protezione strutturalmente superiore a quella dell’escrow affidato a un avvocato o a un intermediario privato.

The advanced notarial escrow is a custody and conditional price release structure calibrated to the specific features of high-value property transactions with international parties. It differs from the standard fiduciary deposit (deposito fiduciario ex art. 1 co. 63 L. 147/2013) by the complexity of the release conditions, the possibility of multiple milestone-linked tranches and the integration with representations and warranties mechanisms.

Structure of the advanced escrow

The notary holds all tranches in the dedicated client account and releases each tranche only upon written confirmation from both parties, or in disputed cases by court order or arbitral award.

Conditions precedent and warranty provisions

The escrow agreement defines in precise terms: the conditions precedent for the release of each tranche and the documentary evidence required to demonstrate their satisfaction; the deadline for satisfaction and the consequences of non-satisfaction (typically return of the relevant tranche to the buyer with accrued interest); the warranties given by the seller and the amount retained in escrow as security for each warranty obligation; and the procedure for making warranty claims and the mechanism for resolving disputes (typically a single expert or a three-person panel).

International dimensions of the advanced escrow

For cross-border luxury transactions, the escrow agreement must also address: the currency in which the escrow is denominated (EUR, CHF, USD or other); the procedure for receiving international wire transfers into the notary’s client account, including SWIFT confirmation and correspondent bank details; the applicable law governing the escrow agreement (Italian law is recommended for all escrow arrangements relating to Italian property); the jurisdiction for any disputes; and the tax treatment of any interest accrued on the escrow balance — in Italy, interest on fiduciary client accounts is subject to withholding tax at 26%.
